Acceptance of terms

By visiting this website, requesting a free written assessment, or otherwise communicating with Old Mountain Commons Covenant, LLC (“OMCC,” “we,” “us”), you agree to these Terms of Service. If you do not agree, please do not use the website or request services from the firm.

The firm and what it is not

Old Mountain Commons Covenant, LLC is a private Utah limited liability company engaged in the assessment, acquisition, and stewardship of senior Utah water rights. The firm is not a law firm and does not provide legal advice. The firm is not a real estate broker, a registered investment adviser, or a licensed appraiser. Any written assessment provided by the firm is a business and valuation document prepared for the recipient’s informational use and is not a legal opinion, a formal appraisal, or a binding offer of purchase unless and until communicated separately and in writing as such.

The free written assessment

The firm offers a free written assessment to identified owners of senior Utah water rights as part of its ordinary business outreach. The assessment is delivered at the firm’s expense and is yours to keep regardless of whether you choose to engage further with the firm. Requesting an assessment creates no obligation on your part to transact with the firm, and the firm reserves the right to decline to provide an assessment in cases where the underlying right cannot be located in public records or where insufficient information has been provided to identify the right.

No attorney-client or fiduciary relationship

Nothing on this website, in any assessment, in any letter mailed by the firm, or in any communication with the firm creates an attorney-client relationship, a fiduciary relationship, or any other form of professional advisory relationship. Owners considering any action concerning a water right are encouraged to retain independent counsel. The Utah State Bar Lawyer Referral Service can connect owners with practitioners who specialize in water adjudication.

Acquisitions and transfers

Where the firm offers to acquire a water right by cash purchase or by stewardship transfer, the offer is communicated in writing and specifies the terms of the transaction. The recipient is encouraged to obtain independent legal review of any written offer before signing any instrument of transfer. The firm’s offers reflect the risk-adjusted current value of the right and are typically below the fully-defended market value of comparable rights; this is disclosed in every written offer the firm makes.

The Utah-only disposition covenant

By its standing covenant, the firm will not sell, lease, or transfer any acre-foot of acquired water to any party outside the State of Utah. This covenant is recorded in the firm’s acquisition deeds and is intended to flow through every subsequent transfer.

Accuracy of information on the website

We make reasonable efforts to keep information on the website accurate and current. Statutory references, dollar ranges, and procedural descriptions are provided for general information and may change as the law, the Service Matrix, or the basin transaction market changes. Owners should verify any specific fact before relying on it for a decision.

Intellectual property

All content on this website, including text, images, and design elements, is the property of Old Mountain Commons Covenant, LLC or used with permission. You may view and print content for personal, non-commercial use. Reproduction or redistribution for commercial purposes requires the firm’s written permission.

Limitation of liability

To the maximum extent permitted by Utah law, the firm is not liable for indirect, incidental, or consequential damages arising from use of this website or from reliance on information provided through the website or in any assessment. The firm’s total liability in any matter arising from website use is limited to the amount, if any, paid by you to the firm for services. For the avoidance of doubt, the free written assessment carries no such payment and therefore no such liability.

Governing law and venue

These Terms are governed by the laws of the State of Utah. Any dispute arising under or related to these Terms or any transaction with the firm is to be resolved in the state or federal courts of competent jurisdiction sitting in Utah.

Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected in a revised effective date at the top of this page.
